MTS-VIVA CELL DEAL WAS SIGNED

The news conference of the spokesmen of MTS and Viva Cell is still
going on at the Armenia Marriott Hotel, during which the news about the
sale of Viva Cell was announced. MTS bought 80 percent of the shares
of Viva Cell for 310 million euros, including 50 million euros which
the seller will get within 3 years, from 2008 to 2010. The other 20
percent is sold by an option agreement which will come into effect from
July 2010 and has legal validity until 2012. The price of the package
will be set by an independent international bank. MTS will lend 140
million euros to the K-Telecom company to cover the liabilities and
finance investment programs.
Presently Viva Cell has 986 thousand subscribers, and as of July 1,
2007 holds 66 percent of the market.
During the news conference the owner of K-Telecom Pierre Fattush
repeated his metaphor about the young girl. He said his company is
like an 18-year-old beauty. Many wanted to marry her. Now the girl
has made up her mind, Fattush said.
